Representative Office(RO)

Representative offices (RO) refer to the business liaison offices of the parent companies established by foreign companies in China. The business scope of the RO is restricted to the engagement of non-profit business activities related to foreign (regional) enterprises. In other words, representative office has no legitimate to sign business contracts with suppliers or customers in China. Nevertheless, a RO can access the China local market and collect market information and transmit to the mother company overseas.

RO was once a popular vehicle to test the Chinese market in the initial stage of the company establishment expanding. While many business investors assume that they can easily switch from a RO to a WFOE or a JV when they are ready for the real business. The real situation is you need to spend several months to cancel the old RO after cleaning the tax involved and then establish your brand new WFOE or JV.

Joint Venture(JV)

Joint Ventures (JV) refer to the company establishment jointly invested by two or more parties. The foreign party could be a foreign company, a foreign individual or an organization; Chinese party must be a Chinese company or an organization.

Both parties share profits and bear risks according to the size of the shares contributed.
